Indigify Vendor Participation Agreement

11. Purpose and Scope

This Vendor Participation Agreement (“Agreement”) sets forth the terms and conditions under which verified Indigenous vendors (“Vendor”, “you”) may participate in the Indigify platform (“Indigify”, “we”, “our”, “the Platform”). By signing up and listing products or services, you agree to abide by the terms of this Agreement and all related Indigify policies.

2. Vendor Eligibility and Verification

Participation is limited to businesses that are majority Indigenous-owned. Vendors must complete the verification process by providing:
- Proof of Indigenous identity (e.g., Status card, Métis citizenship, Inuit enrolment, or community recognition)
- Documentation demonstrating majority Indigenous ownership (51% or more)
- Valid business registration and contact information
- Any additional verification or declarations as requested by Indigify

Indigify reserves the right to approve, deny, or revoke vendor access at its sole discretion based on compliance with verification standards.

3. Onboarding and Listing Requirements

Vendors must complete the onboarding process, including acceptance of this Agreement, and submission of required documents and product/service listings. Listings must:
- Accurately represent the product or service being offered
- Include clear pricing, delivery timelines, and fulfillment expectations
- Not violate any applicable laws or third-party rights

Indigify may request changes or remove listings that are incomplete, misleading, or do not meet platform standards.

4. Fulfillment and Customer Service

Vendors are responsible for:
- Timely fulfillment of orders according to the listing terms
- Providing shipment tracking and delivery status updates (when applicable)
- Responding to customer inquiries within a reasonable timeframe
- Handling returns, exchanges, and refunds as per platform and legal guidelines

Failure to maintain high fulfillment standards may result in penalties, account restrictions, or removal from the platform.

5. Fees and Payouts

Vendors agree to pay applicable platform fees, including transaction and service fees. Payouts will be processed via approved financial systems, subject to:
- Completion of all required onboarding and verification steps
- Compliance with listing and fulfillment policies
- Deduction of applicable Indigify fees and taxes

Indigify reserves the right to withhold or delay payouts in cases of disputes, returns, fraud, or policy violations.

6. Compliance and Code of Conduct

Vendors agree to operate lawfully and ethically, and to:
- Follow all applicable laws (federal, provincial, and local)
- Not misrepresent identity, ownership, or affiliations
- Respect Indigenous cultures and refrain from exploiting cultural imagery or narratives
- Avoid conduct that brings disrepute to the Indigify platform or its mission

Violation of this section may result in suspension or permanent removal from Indigify.

7. Termination

Either party may terminate this Agreement at any time, with or without cause, by providing written notice. Upon termination:
- Outstanding orders must be fulfilled or refunded as appropriate
- Indigify may retain records for compliance and audit purposes

8. Amendments

Indigify may amend this Agreement at any time. Material changes will be communicated via email or platform notification. Continued use of the platform after such notice constitutes acceptance of the updated terms.
